2-6 Activities, value chain and other business relationships

 

PPC S.A. operates in the production, distribution and sale of electricity. i) The activities served by the value chain include materials – spare parts, fixed support equipment, services, projects, liquid fuels, lignite (tertiary), natural gas, electricity supply and greenhouse gas emission rights. ii) The supply chain includes: Chemical consumables, building / construction materials and derivatives, Construction and projects, Professional services, Facility / building management, Human resources and Corporate Social Responsibility, Information, Cybersecurity and Telecommunications, Leases, Transport, Maintenance, repair services and support, Marketing, Professional services.iii) Consists of the parent company PPC S.A. (has facilities for lignite mining, production and distribution of electricity), the main subsidiaries HEDNO S.A. (efficient operation, maintenance and development of the country's distribution network, the management of the electricity systems in the Non-Interconnected Islands and access to the Network for all energy consumers, scattered producers and suppliers of electricity without discrimination, while at the same time it is called upon to facilitate the orderly operation of the electricity supply market) and PPC Renewables S.A. (has been pioneering, both nationally and at European level, in Wind and Solar Energy since the 80s.), LIGNITIKI MEGALOPOLIS S.A. (lignite mining and electricity generation using lignite) and LIGNITIKI MELITIS S.A. (which included the activity and assets of HPP MELITIS and the mines of Klidiou, Vevi and Lofon Melitis) as well as other direct and indirect subsidiaries.

2-15 Conflicts of interests

 

The Company, in its effort to eliminate the conflicts of the Board members, has established a Conflict of Interest Policy. According to this, all members of the Company's Board of Directors and any third party to whom responsibilities have been assigned, must, through the Secretariat of the Board of Directors, notify, in time and in writing, any direct or indirect conflict of interest that they are aware of. The member involved is not entitled to vote on matters in which there is a direct or indirect conflict of interest ("abstention rule"). The Secretariat draws up a register of conflicts of interest, which is constantly updated. For the year 2022, the "abstention rule" was applied in 4 meetings of the Board of Directors where a total of 6 members of the Board of Directors did not vote.

2-19 Remuneration policies

 

Regarding the remuneration of the members of the Board of Directors, it is defined and follows the procedures and standards mentioned in the revised Remuneration Policy. The degree of achievement of the objectives of the executive members of the Board of Directors is certified after the audit and final approval of the Group's financial statements. Until the end of the year 2022 there was no change in the salaries of the executives.

2-20 Process to determine remuneration

2-23 Policy commitments

 

The Code of Conduct approved by the Board of Directors is the set of corporate principles, values and rules, which aims to primarily direct and guide the behavior of executives and employees, regarding the Company's requirements for establishing a culture of ethics and ethics, either imposing an obligation of behavior or/or referring to regulations already established through Regulations/Policies approved by the Board. In addition, it defines and communicates to third parties, the Company's demands towards it, in the context of their cooperation.

2-24 Embedding policy commitments

 

All members of the Senior Management, as well as the Company Executives, are responsible for overseeing the proper implementation of the Code of Ethical Conduct and the Company's Policies/Regulations. At the same time, the Compliance Department, within its jurisdiction, and the Internal Audit Department conduct audits to ensure the correct application of them.
The Compliance Department reviews the Code at least every three years, or periodically as needed, to determine whether and how it should be revised or modified to reflect its goals and comply with the current legal framework and the Company's internal policies and procedures. Any modifications to the Code are approved by the Board of Directors

The Company, by virtue of the Enforcement Policy & Report/Complaint Handling Procedure, encourages and urges its executives, employees and associates to immediately report cases of violations and inappropriate behavior, as well as any act or behavior that deviates from the appropriate, as described in as above Code and in all PPC regulations, policies and procedures.

2-26 Mechanisms for seeking advice and raising concerns

 

The Company, under the Enforcement Policy & Report/Complaint Handling Procedure, encourages and urges its executives, employees, and associates to promptly report cases of violations and inappropriate behavior, as well as any act or behavior deviating from the appropriate, as described in the above Code and all the regulations, policies, and procedures of PPC.

The responsibility for the reception, initial assessment, and monitoring of the entire process lies with the Compliance Department and one of its executives designated as the Complaints and Reports Manager (CRM). The CRM is tasked with managing the channel for complaints/reports. The communication channels for reports and complaints within the Company are:

During the same period, there were zero fines for non-compliance with laws and regulations, while one fine of €3,100,000 was issued in 2022 by the RAEWW, pending before the Administrative Court of Appeals of Athens.
